Ontario Court Rebuffs HBC’s Restructuring Proposal

While six Hudson’s Bay stores have been saved — for now — from closure, a recent court ruling has rejected the company’s restructuring process, increasing the likelihood that lenders could push the oldest corporation in Canada into receivership.

The Ontario judge, in his written decision issued March 29, said he declined to approve the agreement because it was “neither necessary nor appropriate at this time.”

The proposal, negotiated between Hudson’s Bay and lenders Bank of America N.A., Pathlight Capital LP and ReStore Capital LLC, would have given the retailer until April 7 to rescue its remaining locations; otherwise, liquidation will begin at those stores as well, beginning April 8.

The stores in question are three in the Greater Toronto Area and three in the Montreal region, including the downtown Toronto flagship that also houses a Saks Fifth Avenue store operated under licence.

Liquidation sales have already begun at 74 full-line locations across the country, in addition to two Saks Fifth Avenue and 13 Saks Off 5th stores in Canada. These clearance sales received court approval on March 21.

The restructuring agreement would have also handed increased power over the company’s creditor protection process to the retailer’s senior secured lenders, and would have required Hudson’s Bay to conduct business under a weekly budget, with regular reporting to its lenders. Further, if the embattled department store reached a deal with a new buyer, the agreement would have needed the lenders’ approval.

The recent court ruling is the latest milestone in the creditor protection proceedings that have consumed Hudson’s Bay since it filed for bankruptcy protection on March 7.

The retail giant’s demise can be attributed to a multitude of factors, including the growth of specialty retailers, rise of online shopping, Hudson’s Bay’s failure to adapt and evolve with the shift in consumer behaviour, and economic pressures like inflation and high interest rates.
